Terms of Service

1. What WithMe Is

WithMe is a technology platform that helps people propose, discover, express interest in, coordinate, and attend real-world social plans (“WithMes”) at specific venues, places, and times.

WithMe facilitates introductions, planning, messaging, reminders, safety tooling, and coordination. WithMe does not organize, host, supervise, control, or guarantee in-person interactions, venues, transportation, reservations, food, drinks, third-party events, or user conduct.

WithMe is not a dating service, background-check service, emergency service, venue operator, travel agency, restaurant, ticketing provider, or reservation provider.

2. Eligibility

You must be at least 18 years old and legally able to enter into these Terms. By using WithMe, you represent that you meet these requirements.

You may not use WithMe if you are barred from using the Service under applicable law, if we previously removed you for safety or policy reasons, or if you are required to register as a sex offender in any jurisdiction.

We may require age, identity, account, or safety verification, but we do not promise to verify every user or guarantee that any verification is complete, current, or accurate.

3. Accounts and Security

You are responsible for maintaining accurate profile information, keeping your account secure, and all activity under your account.

You agree not to impersonate anyone, create fake or misleading profiles, use another person’s account, transfer your account, scrape the Service, or use WithMe for spam, fraud, harassment, or unauthorized commercial activity.

Tell us promptly if you believe your account has been compromised.

4. WithMes and Host Selection

A WithMe is a user-created plan that may include a host, a venue or place, a time, plan details, guest interest, host selection, messages, notes, and related coordination.

Hosts decide whom to select. If a host selects you, the WithMe may be treated as confirmed within the Service. You remain responsible for deciding whether to attend, communicating respectfully, and honoring any commitments you make.

WithMe does not guarantee that anyone will express interest, be selected, attend, be available, act appropriately, or that a plan will occur as expected.

5. Venues, Reservations, Events, and Costs

Venues, event listings, maps, photos, hours, prices, availability, accessibility details, policies, and other third-party information may change or be inaccurate. You are responsible for confirming details directly with the venue or provider before attending.

Unless we expressly say otherwise in writing, WithMe does not make, manage, guarantee, or pay for reservations, tickets, transportation, purchases, food, drinks, cover charges, deposits, cancellation fees, or other costs. Users are responsible for their own expenses and arrangements.

Third-party venues, services, links, maps, and providers are not controlled by WithMe. Their terms and privacy practices apply to your use of their services.

6. Real-World Safety and Assumption of Risk

WithMe enables users to meet in person. Real-world interactions involve risks, including personal injury, illness, emotional distress, property loss, unwanted contact, discrimination, criminal conduct, and other harms.

You are solely responsible for your decisions about whether, when, where, and how to meet other users. Use good judgment, meet in public places when appropriate, tell someone where you are going, arrange your own transportation, and leave or seek help if you feel unsafe.

WithMe does not conduct universal criminal background checks, does not guarantee user identity or behavior, and is not responsible for the conduct of any user or third party online or offline. To the maximum extent permitted by law, you assume the risks of using the Service and participating in WithMes.

If there is an emergency or immediate danger, contact local emergency services first. WithMe reporting and support channels are not emergency services.

7. User Conduct

You must follow our Community Guidelines, which are incorporated into these Terms.

WithMe has no tolerance for objectionable content or abusive users.

You agree not to use WithMe to harass, threaten, stalk, exploit, intimidate, discriminate against, defame, scam, spam, sexually exploit, or harm others.

You also agree not to use WithMe for illegal activity, weapons transactions, controlled substances, sex work or solicitation, human trafficking, non-consensual sexual content, hate or extremist activity, self-harm encouragement, privacy invasion, malware, security attacks, scraping, automated account creation, or any activity that could expose WithMe, users, venues, or third parties to liability or harm.

You may not access, collect, scrape, copy, sell, license, purchase, or otherwise misuse data from WithMe except as the Service intentionally allows. You may not collect or solicit account credentials, verification codes, private invite links, access tokens, or other authentication materials, or attempt to access information you do not have permission to access.

You may not upload viruses or malicious code, interfere with or overburden the Service, bypass rate limits or safety controls, reverse engineer private systems, evade bans or enforcement, manipulate rankings or recommendations, or circumvent any technical measure we use to protect WithMe, users, data, or the integrity of the Service.

You may not misuse reporting, support, dispute, or review channels by submitting fraudulent, duplicative, misleading, retaliatory, or groundless reports, appeals, or support requests.

We may remove content, restrict visibility, limit features, suspend or terminate accounts, preserve evidence, contact law enforcement, or take other action when we believe it is appropriate to protect users, WithMe, or others.

8. Content and License

You are responsible for the profile information, photos, bios, preferences, messages, plans, notes, reports, feedback, and other content you provide (“User Content”). You represent that you have the rights needed to provide User Content and that it does not violate law or the rights of others.

You keep ownership of your User Content. You grant WithMe a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, modify, adapt, create derivative works from, and otherwise use your User Content as reasonably necessary to operate, provide, improve, secure, market, and support the Service.

This license includes the right to show your profile and plan content to other users as the Service is designed, to use feedback without restriction, and to retain and use content as needed for safety, legal, audit, backup, and enforcement purposes.

You can delete certain User Content or initiate account deletion in the Service as described in our Privacy Policy. When you confirm account deletion, WithMe disables the account and signs you out, then deletes or anonymizes personal account and profile data in our active systems. Shared plan, message, safety, legal, audit, backup, and enforcement records may remain where needed for other users' history, dispute resolution, safety, security, fraud prevention, legal compliance, or legitimate business purposes. In retained shared records, we may keep internal identifiers where needed for restricted audit or legal purposes while removing or anonymizing user-facing profile details such as display name, bio, photos, and live profile links.

We may review, moderate, remove, or restrict User Content at our discretion, but we do not promise to monitor all content.

9. Communications and Notifications

You agree that WithMe may send you service, safety, account, plan, support, and administrative communications by email, push notification, in-app message, SMS, or other available channels. Message and data rates may apply.

You can manage certain notification preferences in the Service or through your device settings. Some transactional, safety, and account messages may still be sent where permitted by law.

10. Privacy

Your use of WithMe is governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect information, including profile information, location information, messages, safety reports, screenshots, device data, analytics, and support communications.

11. Intellectual Property

WithMe, Beyeo, our logos, designs, software, text, graphics, interfaces, features, and other materials are owned by Beyeo, Inc. or our licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, reverse engineer, sell, lease, exploit, or create derivative works from the Service except as allowed by law or expressly permitted by us.

12. Beta Features and Availability

WithMe may include early, experimental, invite-only, sample, preview, or beta features. We may change, limit, pause, or discontinue any feature at any time.

We do not guarantee that the Service will be available, secure, uninterrupted, error-free, or compatible with every device, network, operating system, venue, or third-party service.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, safety, and any warranties arising from course of dealing or usage of trade.

We do not warrant that matches, recommendations, venues, plans, messages, notifications, safety tools, or other Service outputs will meet your expectations or produce any particular outcome.

14. Limitation of Liability

To the maximum extent permitted by law, Beyeo, Inc. d/b/a WithMe and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost data, lost goodwill, personal injury, emotional distress, property damage, or other losses arising from or related to your use of the Service, inability to use the Service, User Content, third-party services, venues, or interactions with other users.

To the maximum extent permitted by law, our total liability for any claim arising from or related to the Service or these Terms will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid us, if any, to use the Service during the twelve months before the claim arose.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Beyeo, Inc. d/b/a WithMe and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Service, User Content, interactions with other users, conduct at venues or events, violation of these Terms, violation of law, or violation of another person’s rights.

16. Suspension and Termination

We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we believe you violated these Terms, created risk, exposed us or others to liability, or used the Service in a way inconsistent with its purpose.

You may stop using WithMe at any time. Account deletion and data retention are addressed in the Privacy Policy.

After account deletion, you may not be able to recover the account. Shared WithMe history and chat message bodies may remain visible to other participants with your public identity anonymized, and restricted legal, safety, and audit records may continue to be retained as described in the Privacy Policy.

Sections that by their nature should survive termination will survive, including ownership, license, safety, disclaimers, limitation of liability, indemnification, dispute resolution, and general legal provisions.

17. Dispute Resolution

Please contact support@xwith.me first so we can try to resolve concerns informally.

Except where prohibited by law, you and WithMe agree that any dispute must be brought individually, and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding.

Nothing in these Terms prevents either party from seeking relief in small claims court if the claim qualifies, seeking injunctive or equitable relief for intellectual property or unauthorized access, or reporting concerns to a regulator or law enforcement agency.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Except for claims that may be brought in small claims court or where prohibited by law, you agree that the state and federal courts located in Delaware will have exclusive jurisdiction and venue for disputes arising from or related to these Terms or the Service.

19. Changes to These Terms

We may update these Terms from time to time. We will update the “Last Updated” date and, where appropriate, notify users. Continued use of WithMe after updated Terms become effective means you accept the updated Terms.

20. General Terms

These Terms and the Privacy Policy are the entire agreement between you and Beyeo, Inc. d/b/a WithMe about the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
